Operating Agreement dated as of March 19th, 2009, made and entered into among the Members listed on Exhibit A to become effective upon filing of the Articles of Organization for the Company with the New York Department of State. As of the effective time of the Company’s Articles of Organization, the Members enter into this Agreement for the purpose of setting forth the agreements between themselves and the Company and with one another.
