This CREDIT AGREEMENT (“Agreement”) is entered into as of February 22, 2011 among FRANKLIN STREET PROPERTIES CORP., a Maryland corporation (“FSP”), together with those certain Material Subsidiaries of FSP listed on Schedule 1 attached hereto (as the same may be amended from time to time in accordance with the terms of this Agreement) (individually and collectively, the “Borrower”) each lender from time to time party hereto either as a result of such party’s execution of this Agreement as a “Lender” as of the date hereof or as a result of such party being made a “Lender” hereunder by virtue of an executed Assignment and Assumption (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
