This Amended and Restated Broker-Dealer Agreement (together with exhibits and schedules, the “Agreement”) is entered into by and between GEAR Capital, Inc. (“Client”), an Ontario, Canada Corporation, and Dalmore Group, LLC., a New York Limited Liability Company (“Dalmore”).
