This AMENDED AND RESTATED RETENTION AGREEMENT is entered into as of this 3rd day of November, 2010, by and between ICU MEDICAL, INC., a Delaware corporation (the “Company”) and George A. Lopez, Chief Executive Officer and Chairman of the Board (the “CEO”), and supersedes in its entirety the RETENTION AGREEMENT entered into by the Company and the CEO as of January 29, 2010.
