THIS CONVERSION AGREEMENT (this “Agreement”) is dated as of December 30, 2010 by and among SunTrust Bank, a Georgia banking corporation (“SunTrust”), CommunityOne Bank, N.A., a national banking association (the “Bank”), and, for purposes of Sections 9 and 10 only, FNB United Corp., a North Carolina corporation (“FNB”).
