THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made effective as of November 29, 2010 (the “Effective Date”), by and between PDC COMMUNITY CENTERS L.L.C., a Delaware limited liability company (“Seller”), and RETAIL OPPORTUNITY INVESTMENTS CORPORATION, a Delaware corporation (“Purchaser”). This PURCHASE AND SALE AGREEMENT (this “Agreement”) dated the 18th day of November, 2010, is by and between MISSION CENTER, LLC, a California limited liability company (“Seller”), and RETAIL OPPORTUNITY INVESTMENTS CORP., a Delaware corporation (“Buyer”), and shall be effective on the Effective Date (as defined in Section 3).
