THIS FIRST AMENDMENT TO AMENDED AND RESTATED CHANGE OF CONTROL AGREEMENT (this "Amendment") is made and entered into as of December 31, 2012 (the "Effective Date") by and between THE FEMALE HEALTH COMPANY a Wisconsin corporation (the "Company"), and O.B. PARRISH (the "Executive"). Capitalized terms used herein but not defined shall have the meanings given such terms in the Original Agreement (as defined below).
