SHARE PURCHASE AGREEMENT (this “SPA”), dated as of July 24, 2013, by and between Vertex Technology Fund (III) Ltd., a company organized under the laws of Singapore (the “Seller”) and Grand Continental Holdings Limited, a company incorporated under the Laws of British Virgin Islands (the “Buyer”). The Seller and Buyer are hereinafter collectively referred to as the “parties” and each individually as a “party.”
