This Share Purchase Agreement (this “Agreement”), dated as of November 27, 2014 is by and between ROSYEDGE LIMITED, a company organized under the laws of British Virgin Islands (the “Purchaser”), and CNINSURE INC., a company organized under the laws of the Cayman Islands (the “Company”). The Purchaser and the Company are sometimes herein referred to each as a “Party,” and collectively as the “Parties.”

Borrowers: Rosyedge Limited, is a liability limited company duly incorporated under the laws of British Virgin Islands (“Party B”). Ojeda Limited, is a liability limited company duly incorporated under the laws of British Virgin Islands (“Party C”). Colour Step Limited, is a liability limited company duly incorporated under the laws of British Virgin Islands (“Party D”).
