THIS ASSET AND FRANCHISE PURCHASE AGREEMENT (“Agreement”) is made and entered into on December 29, 2015, by and between The Joint Corp., a Delaware corporation (“TJC”), Forte Vita Ventures, Inc. , a California corporation (“Seller”), Neil Sinay (a “Shareholder”) and Jennifer M. Sinay (a “Shareholder,” and together with Neil Sinay, the “Shareholders”).
