THIS AMENDMENT #1 TO THE IP LICENSE AGREEMENT (“First Amendment”) is made and entered into as of March 21, 2016 (the “First Amendment Effective Date”) by and between Amyris, Inc., having its principal place of business located at 5885 Hollis St, Suite 100, Emeryville, CA 94608 USA (“Amyris”), and Novvi LLC, a Delaware limited liability corporation, having its place of business at 5885 Hollis Street, Suite 100, Emeryville, California 94608 (“Novvi LLC”).

This Amended & Restated Jet Fuel License Agreement (the “Agreement”) is entered into on March 21, 2016 (the “Effective Date”) by and among AMYRIS, INC., a corporation organized and existing under the laws of the state of Delaware, United States of America, with its principal place of business at 5885 Hollis Street, Suite 100, Emeryville, California 94608 (“AMYRIS”), and Total Amyris BioSolutions B.V., a private company with limited liability under the laws of the Netherlands (besloten vennootschap met beperkte aansprakelijkheid), co-owned, as of the Effective Date, by Amyris and Total Energies Nouvelles Activités USA, with its principal place of business at Hoogoorddreef 15, 1101 BA Amsterdam, the Netherlands (the “Company”). AMYRIS and Company may each be referred to herein individually as a “Party,” and collectively as the “Parties.” This Agreement amends and restates the License Agreement, dated December 2, 2013 between AMYRIS and Company (the “Original License Agreement”).

This AMENDED AND RESTATED SHAREHOLDERS’ AGREEMENT (this “Agreement”), dated as of March 21, 2016, is by and among Total Energies Nouvelles Activités USA (formerly known as Total Gas & Power USA, SAS), a société par actions simplifiée organized under the laws of the Republic of France (“TENA USA”), Amyris, Inc., a Delaware corporation (“Amyris”), and Total Amyris BioSolutions B.V., a private company with limited liability incorporated under the laws of the Netherlands (besloten vennootschap met beperkte aansprakelijkheid) (“JVCO,” and each of TENA USA, Amyris and JVCO, a “Party” and, collectively, the “Parties”) and amends and restates the Shareholders’ Agreement among TENA USA, Amyris and JVCO dated as of December 2, 2013 (the “Original Shareholders’ Agreement”).

AMYRIS and TOTAL may each be referred to herein individually as a “Party,” and collectively as the “Parties.”
