FIRST AMENDMENT (this “Amendment”), dated as of December 9, 2016, entered into pursuant to the CREDIT AGREEMENT, dated as of September 16, 2014 (as amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”), among CDK GLOBAL, INC. (f.k.a. CDK GLOBAL HOLDINGS, LLC) (the “Company”), the Borrowing Subsidiaries from time to time party thereto, the Lenders party thereto and JPMORGAN CHASE BANK, N.A., as Administrative Agent (the “Administrative Agent”).
