Reference is made to that certain Sales Agreement, dated May 8, 2015 (the “Sales Agreement”), by and between Argos Therapeutics, Inc. (the “Company”) and Cowen and Company, LLC (“Cowen”), as sales agent. The Company now intends to enter into this Amended and Restated Sales Agreement (this “Agreement”) with Cowen to amend and restate the terms of the Sales Agreement in its entirety.
