This Registration Rights Agreement (this “Agreement”) is made and entered into as of March 6, 2018, by and among WestRock Company, a Delaware corporation (the “Company”), the Guarantors party hereto (collectively, the “Guarantors”) and Wells Fargo Securities, LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Mizuho Securities USA LLC, MUFG Securities Americas Inc., Scotia Capital (USA) Inc., SMBC Nikko Securities America, Inc. and SunTrust Robinson Humphrey, Inc., as representatives (the “Representatives”) of the several initial purchasers named in Schedule A-1 (the “2025 Notes Initial Purchasers”) and the several initial purchasers named in Schedule A-2 (the “2028 Notes Initial Purchasers” and, together with the 2025 Notes Initial Purchasers, the “Initial Purchasers”), as the case may be.
