GUARANTEE AGREEMENT, dated as of May 16, 2019 (as amended, restated, supplemented or otherwise modified, this “Guarantee Agreement”), among LIBERTY TAX, INC., a Delaware corporation (the “Borrower”), each Subsidiary party hereto as of the date hereof or which becomes a party hereto in accordance with Section 9.1 (each such Subsidiary, individually, a “Guarantor” and, collectively, the “Guarantors”), and CITIZENS BANK, N.A., as administrative agent (in such capacity, the “Administrative Agent”) under the Credit Agreement referred to in the next paragraph acting on behalf of the Guaranteed Parties.
