THIS ASSET AND FRANCHISE AGREEMENT PURCHASE AGREEMENT (“Agreement”) is made and entered into on August 1, 2019 (“Effective Date”), by and between The Joint Corp., a Delaware corporation (“TJC”), RJJ, LLC, a South Carolina limited liability company (“Seller”), and Robin Willey, an individual, and Judy Willey, an individual (collectively, the “Shareholder”). TJC, Seller, and Shareholder shall at times be collectively referred to as the “Parties.”
