This First Amended Operating Agreement (the “Agreement”), is made on October 1, 2009 (the “Effective Date”) between Shrink Nanotechnologies, Inc., a Delaware corporation, (hereinafter referred to as the “Company”) and BCGU, LLC, a Nevada limited liability company (the “Consultant”).
