This Stock Purchase Agreement (this “Agreement”), dated as of January 18, 2019, is entered into by and among PAC INDUSTRIES, INC., a Pennsylvania corporation (the “Company”), the PAC INDUSTRIES, INC. EMPLOYEE STOCK OWNERSHIP TRUST (“Trust”) acting herein through FIRST BANKERS TRUST SERVICES, INC.
