THIS FIRST AMENDMENT TO RIGHTS AGREEMENT (this “Amendment”), dated as of April 21, 2021, by and between Whitestone REIT, a Maryland real estate investment trust (the “Company”), and American Stock Transfer & Trust Company, LLC, as rights agent (the “Rights Agent”), amends the Rights Agreement, dated as of May 14, 2020, by and between the Company and the Rights Agent (the “Agreement”). Capitalized terms used herein and not otherwise defined shall have the meanings ascribed to such terms in the Agreement.
