CREDIT AGREEMENT dated as of July 20, 2007 among Silver Wheaton Corp., a corporation continued under the laws of the Province of Ontario (the “Borrower”), the lending institutions from time to time parties hereto as Lenders (each a “Lender” and, collectively, the “Lenders”) and The Bank of Nova Scotia as Administrative Agent.

WHEREAS Peñasquito is the registered or recorded holder of certain mining concessions located in the State of Zacatecas, Mexico, as more particularly described in Schedule “A” attached hereto (the “Concessions”) and commonly referred to as the Peñasquito Mine;
