THIS AGREEMENT, dated as of August 11, 2008 (amending the Shareholder Rights Plan as of July 6, 2005) is made between Silvercorp Metals Inc. (the “Company”), a corporation existing under the laws of British Columbia, and Computershare Investor Services Inc., a company existing under the laws of Canada (the “Rights Agent”);
