This Loan Agreement is entered as of this 10th day of September, 2004, by and between Minera Santa Cruz S.A. THIS AMENDMENT to the Loan Agreement subscripted in September 10th, 2004 is made as of the 15 day of December 2005 by and between: Minera Santa Cruz S.A.
