This Funding Agreement and its Exhibits (this “Agreement”) is entered into effective as of December 20, 2011 (the “Effective Date”), by and among COMPUGEN LTD., an Israeli company with offices at 72 Pinchas Rosen Street, Tel Aviv, 69512, ISRAEL (“Compugen” or the “Company”), and BAIZE INVESTMENTS (ISRAEL) LTD., a private company organized under the laws of Israel No. 51-430159-1, c/o Arad & Co., 1 Kermenizki St., Tel-Aviv Israel 67899 (“Investor”). Compugen and Investor are each a “Party” to this Agreement and, collectively, are the “Parties” to this Agreement.
