Prana Biotechnology Ltd (the “Company”), B. Riley FBR, Inc. (successor by merger to FBR Capital Markets & Co.) (“B. Riley FBR”) and JonesTrading Institutional Services LLC (“JonesTrading” and together with B. Riley FBR, the “Agents”) are parties to that certain At Market Issuance Sales Agreement dated October 13, 2016 (the “Original Agreement”). All capitalized terms not defined herein shall have the meanings ascribed to them in the Original Agreement.
