Whereas the Purchaser is interested in purchasing and the Sellers are interested in selling all of the issued share capital of the Company and all of the rights by virtue of the options that were granted to the Company’s employees (which shall be fully vested at the closing of the transaction) and the shareholders loans that were provided to the Company;
