This Manufacturing Services Agreement (the “Agreement”) is made and entered into as of August ___, 2023 (the “Effective Date”) by and between Tower Semiconductor Ltd., a company duly organized and existing under the laws of the State of Israel, having its principal place of business at Ramat Gavriel Industrial Park, P.O. Box 619 Migdal Haemek 23105, Israel and its affiliates (“Tower”), and Intel Corporation and its affiliates, a company duly organized and existing under the law of Delaware, and having its registered office at 2200 Mission College Blvd., Santa Clara, CA 95054-1549, United States (“Intel” or the “Supplier”). Each of Tower and Intel may be referred to as a “Party” and collectively as the “Parties” to this Agreement.
