This Amended Asset Purchase Agreement (the “Agreement”) is entered into on July 10, 2013 and supersedes the Asset Purchase Agreement dated June 27, 2013, by and between Nova Mining Corporation, a Nevada corporation (“Buyer”), The Renewable Corporation, a Washington corporation (“TRC”) and TRC’s wholly owned subsidiary Renewable Bioscience Technologies, Inc., a Florida corporation (“RBT”). TRC and RBT are collectively referred to herein as the "Sellers". Buyer and Sellers are collectively referred to herein as the "Parties."
