ELECTRONIC DATA SYSTEMS CORPORATION, a Delaware corporation (the "Company"), EDS INFORMATION SERVICES L.L.C., a Delaware limited liability company ("EIS"), the Guarantors (as defined herein) from time to time party hereto, the banks, financial institutions and other institutional lenders (the "Initial Lenders") and issuers of letters of credit ("Initial Issuing Banks") listed on Schedule I hereto, and CITIBANK, N.A.
