THIS LOAN AND SECURITY AGREEMENT is made on August 1, 2005, by and among INTEGRATED ELECTRICAL SERVICES, INC. This PLEDGE AGREEMENT, dated as of August 1, 2005 (together with all amendments, restatements or modifications from time to time hereto, this "Agreement") among Integrated Electrical Services, Inc., a Delaware corporation ("IES") and each of the entities listed on Annex I attached hereto (each a "Pledgor" and collectively, "Pledgors") and BANK OF AMERICA, N.A. in its capacity as Agent for Lenders ("Agent").
