This Employment Agreement is made effective December 31, 2007 (the "Agreement") by and between TESCO CORPORATION, a corporation organized under the laws of the Province of Alberta, Canada (hereinafter referred to as "Employer" or "Company") and NIGEL M. LAKEY (hereinafter referred to as "Executive") and amends and restates and supersedes the Employment Agreement between Executive and Employer dated May 1, 2006 (the "Prior Employment Agreement") and the Change of Control Agreement between Executive and the Company dated May 1, 2006 (collectively the "Prior Agreements"). Employer and Executive are collectively referred to herein as the "Parties," and individually referred to as a "Party."
