THIS PURCHASE AGREEMENT (the "Agreement") is dated as of the 1st day of August, 2008 (the "Effective Date") between RUTH'S HOSPITALITY GROUP, INC. ("Parent"), RCSH OPERATIONS, LLC, a Louisiana limited liability company, RCSH OPERATIONS, INC., a California corporation and RHG KINGFISH, LLC, a Florida limited liability company (Parent, and such other entities, collectively, "Seller"), and SOVEREIGN INVESTMENT COMPANY, a California corporation ("Purchaser"). R E C I T A L S : Purchaser desires to purchase, and Seller is willing to sell, the Properties (defined hereinafter) upon the terms and conditions set out hereinafter.
