This Amended and Restated Employment Agreement (this "Agreement") made effective on December 31, 2008, between TESCO CORPORATION, a corporation organized under the laws of the Province of Alberta, Canada (the "Company" or "Employer") and JULIO QUINTANA ("Executive") amends and restates and supersedes the Employment Agreement dated August 25, 2004, between Executive and the Company (the "Prior Employment Agreement") and the Change of Control Agreement between Executive and the Company dated September 1, 2004 (collectively with the Prior Employment Agreement, the "Prior Agreements"). Employer and Executive are collectively referred to herein as the "Parties" and individually referred to as a "Party."
