THIS PURCHASE AGREEMENT (the “Agreement”) is made as of the 2nd day of December, 2009 (the “Effective Date”) between DayStar Technologies, Inc., a Delaware corporation (the “Company”), and Peter Alan Lacey (the “Purchaser”).
