TO: CRAILAR TECHNOLOGIES INC. (the "Corporation"). The undersigned (the "Subscriber") hereby irrevocably subscribes for a convertible debenture of the Corporation (the "Debenture") having an aggregate principal amount set forth below (the "Principal Amount") and bearing interest at a rate of 10.0% per annum, maturing on September 30, 2017 and convertible, at any time before maturity, at the option of the holder, into previously unissued common shares of the Corporation (each, a "Share") at $2.90 per Share, all upon and subject to the terms and conditions set forth in Schedule "A" attached hereto.
