THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of April __, 2008, by and among TERMINUS, INC., a Nevada corporation (the “Purchaser”), THE BLACKHAWK FUND, a Nevada corporation (the “Company”), and Palomar Enterprises, Inc., a Nevada corporation (the “Seller”). Capitalized terms used in this Agreement without definition shall have the meanings set forth or referenced in Article VIII.
