BIOMODA, INC., for and on behalf of its affiliated corporations (collectively referred to as the "Company") and MARIA ZANNES (the "Employee") hereby enter into this EMPLOYMENT AGREEMENT ("Agreement") dated as of December 29, 2010 as follows:
