THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is executed as of May 24, 2012 (the “Effective Date”), by and among MMT TECHNOLOGIES, INC., a Florida corporation (“Seller”), OTHO N. FLETCHER, JR., an individual (the “Selling Principal”), and GlyEco Acquisition Corp. #3, an Arizona corporation (“Buyer”). For purposes of this Agreement, Seller, Buyer, and Selling Principal are sometimes individually referred to as a “Party” and collectively, as the “Parties.” All capitalized terms, if not otherwise defined in the body of this Agreement, will have the meaning assigned to such terms in Schedule 1-A attached hereto.
