This EMPLOYMENT AGREEMENT (“Agreement”) is made effective April 6, 2015, between Trycera Financial, Inc., a corporation formed under the laws of the State of Nevada with its principal place of business at 18100 Von Karman Ave, Ste 850, Irvine, CA 92612 (“TRYCERA”), and Ray A. Smith (“the Employee”) and is to replace the existing Employment Agreement signed on October 1, 2009.
