This SECURITIES PURCHASE AGREEMENT (the “Agreement”) is dated as of September 5, 2019 by and among NeuroClear Technologies, Inc., a Delaware corporation (the “Company”), each of the purchasers identified on the signature pages hereto and such purchasers’ respective successors and assigns (individually, a “Purchaser” and collectively, the “Purchasers”) and, solely with respect to Section 3.03 and Article IV, BioSig Technologies, Inc. a Delaware corporation (the “Parent”).
