This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of March 22, 2022, by and between MITESCO, INC., a Delaware corporation, with headquarters located at 1600 Highway 100 South, Suite 432, St. Louis Park, MN 55416 (the “Company”), and AJB CAPITAL INVESTMENTS, LLC, a Delaware limited liability company, with its address at 4700 Sheridan Street, Suite J, Hollywood, FL 33021 (the “Buyer”).

THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, AJB Capital Investments LLC , a Delaware limited liability company, or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the date that is six months following the date hereof and on or prior to the close of business on the fifth (5th)year anniversary of the Issuance Date (the “Termination Date”) but not thereafter, to subscribe for and purchase from Mitesco Inc., a Delaware corporation (the “Company”), up to 750,000 shares of Common Stock (subject to adjustment hereunder, the “Warrant Shares”). The purchase price of one Warrant Share under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b). This Warrant issued pursuant to a Securities Purchase Agreement (the “Purchase Agreement”), dated as of the Issuance Date, entered into between the Company and the purchasers
