This SHARE EXCHANGE AGREEMENT (this “Agreement”) is entered into as of this day of February 2022 by and among Nowtransit, Inc., a Nevada corporation (“NOWTRANSIT”), Justin Earl in his capacity as a representative of the NOWTRANSIT Shareholders for certain purposes described herein (the “NOWTRANSIT Shareholder Representative”) Best 365 Labs, Inc., a Nevada corporation (“BEST”), each of the shareholders of BEST listed on Schedule 1.01 hereto (the “BEST Shareholders”) and Darren Lopez in his capacity as a representative of the BEST Shareholders for certain purposes described herein (the “BEST Shareholder Representative”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively as the “Parties.”

THIS STOCK PURCHASE AGREEMENT (the “Agreement”) entered into this 22nd day of November, 2022, by and among Nowtransit Inc., a Nevada corporation (the “Company”) and the Purchaser identified on the signature page hereto (the “Purchaser”). The Purchaser and the Company may sometimes be referred to herein collectively as the “Parties”.
