This letter agreement (this "Agreement") will confirm our understanding relating to the engagement of Berkley Financial Services (BFS) Ltd. ("we", or "us") as a financial advisor to Smart Online. Inc. (the "Company" or "you"). Capitalized terms used in this Agreement have the meanings set forth at Section 11.
