This Employment Agreement (this "Agreement") is made and entered into this 3rd day of January 2009, by and between Versar, Inc., a Delaware corporation ("Company"), its successors and assigns, and Charles S. Cox ("you" or "your"). This Agreement promises you an employment relationship and certain severance benefits during the Term of this Agreement. Capitalized terms are defined in the last section of the Agreement.
