This AMENDED AND RESTATED CREDIT AGREEMENT (“Agreement”) is entered into as of February 10, 2011, among BENIHANA INC., a Delaware corporation (“Benihana Inc.”), BENIHANA NATIONAL CORP., a Delaware corporation (“BNC” and, collectively with Benihana Inc., the “Borrower” or the “Borrowers”), WELLS FARGO BANK, NATIONAL ASSOCIATION (as successor by merger to Wachovia Bank, National Association) and each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and WELLS FARGO BANK, NATIONAL ASSOCIATION (as successor by merger to Wachovia Bank, National Association), as Administrative Agent, Sweep Plus Lender and L/C Issuer.
