You (the “Participant”) are hereby awarded Performance Shares subject to the terms and conditions set forth in this Performance Award Agreement (the “Award”) and in the Kaydon Corporation 1999 Long Term Stock Incentive Plan (“Plan”). You acknowledge receipt of a copy of the Prospectus for the Plan and accept these Performance Shares subject to all of the terms, conditions and provisions of this Agreement and the Plan. This Award is conditioned on your execution of this Award.
