This Agreement dated as of the 1st day of October is made by and among Nationwide Financial Services, Inc. on behalf of its subsidiary life insurance companies listed on Exhibit A (collectively “Nationwide”) and the Nationwide separate accounts (“Variable Accounts”) listed on Exhibit A and Fred Alger Management, Inc. ("Adviser"), Fred Alger & Company, Incorporated ("Distributor") (collectively "the Company") which serves as adviser and distributor to the mutual funds (the “Funds”) listed on Exhibit B.
