This Amended and Restated Sales and Marketing Services Agreement(the “Agreement”) is entered into as of July 9, 2003 (the “Effective Date”) by and between CV Therapeutics, Inc.,a Delaware corporation (“CVT”), Innovex (North America) Inc., a New Jersey corporation, as successor to Innovex Inc., a Delaware corporation (“Innovex Inc.”), Innovex LP, a New Jersey limited partnership (“Innovex”) and Quintiles Transnational Corp., a North Carolina corporation (“Quintiles”), each on behalf of itself and its Affiliates (as defined below). CVT, Innovex Inc., Innovex and Quintiles are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”

THIS WARRANT HAS NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933 AS AMENDED OR ANY APPLICABLE STATE SECURITIES LAWS AND HAS BEEN ACQUIRED FOR INVESTMENT AND NOT WITH A VIEW TO, OR IN CONNECTION WITH, THE SALE OR DISTRIBUTION THEREOF. THIS WARRANT AND THE SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT MAY NOT BE SOLD, OFFERED FOR SALE, PLEDGED OR HYPOTHECATED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT AS TO THIS WARRANT OR THE SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT, RESPECTIVELY, UNDER SAID ACT OR QUALIFICATION RELATED THERETO OR AN OPINION OF COUNSEL REASONABLY SATISFACTORY TO THE COMPANY THAT SUCH REGISTRATION OR QUALIFICATION IS NOT REQUIRED.
