On July 2, 2002, the Borrower (such term, and each other capitalized term used and not otherwise defined herein having the meaning assigned to it in Article I), the Administrative Agent and certain of the Lenders entered into the Existing Credit Agreement, pursuant to which the lenders thereunder agreed to extend credit to the Borrower on a revolving credit basis in principal amount not in excess of $600,000,000 at any time outstanding. The parties hereto desire to amend the Existing Credit Agreement and to restate it in its entirety giving effect to such amendment. Accordingly, the parties hereto agree that the Existing Credit Agreement shall be amended and restated to read in its entirety as set forth herein:
