This FOURTH AMENDED AND RESTATED STOCKHOLDERS AGREEMENT (this “Agreement”) is effective as of May 30, 2003 (the “Effective Date”) by and among LEAPFROG ENTERPRISES, INC. (formerly Knowledge Kids Enterprises, Inc.), a Delaware corporation (the “Company”), the persons identified on the Schedule of Stockholders attached hereto as Exhibit A (the “Schedule of Stockholders”) as Class A Common Stockholders (the “Class A Common Stockholders”), the persons identified on the Schedule of Stockholders as Class B Stockholders (the “Class B Common Stockholders” and, together with the Class A Common Stockholders, the “Common Stockholders”) and the persons identified on the Schedule of Stockholders as Former Series A Preferred Stockholders (such identified persons and any other persons who acquire any Shares (as defined below) initially owned by any of such identified persons (or acquired upon conversion of such Shares) directly in a Qualified Transfer or indirectly through a series of transfers all o
