This REGISTRATION RIGHTS AGREEMENT (“Agreement”) is made as of September 15, 2003 by and among Bio-Imaging Technologies, Inc., a Delaware corporation (the “Company”), and the persons listed as the Investors on the signature pages hereto (the “Investors”), and each person or entity that subsequently becomes a party to this Agreement pursuant to, and in accordance with, the provisions of Section 11 hereof (collectively, the “Permitted Transferees” and each individually a “Permitted Transferee”).

This SECURITIES PURCHASE AGREEMENT (this “Agreement”) is dated as of September 15, 2003 by and among BIO-IMAGING TECHNOLOGIES, INC., a Delaware corporation with its principal office at 826 Newtown-Yardley Road, Newtown, Pennsylvania 18940 (the “Company”), and the persons listed as the Purchasers on the signature pages hereto (the “Purchasers”).
